Welcome to ReadyBuilt LLC. These Terms of Service (“Terms”) govern your access to and use of the ReadyBuilt website, services, preview pages, proposals, and related communications.

By using this website, requesting a quote, viewing a preview website, purchasing services, or working with ReadyBuilt LLC, you agree to these Terms.

1. Who We Are

ReadyBuilt LLC provides website design, website setup, hosting coordination, business email setup, website maintenance, and related digital services for small businesses.

For purposes of these Terms, “ReadyBuilt,” “we,” “us,” and “our” refer to ReadyBuilt LLC and its owner/operator. “Client,” “you,” and “your” refer to website visitors, prospective clients, and paying clients.

2. Services

ReadyBuilt may provide services including, but not limited to:

• Website design and redesign
• Website setup and launch support
• Landing pages and preview websites
• Domain connection and DNS assistance
• Business email setup and configuration
• Hosting setup or hosting coordination
• Website maintenance and minor updates
• Basic search engine optimization setup
• Analytics or form setup
• Technical support related to the agreed service package

The exact services provided will depend on the written proposal, invoice, service agreement, or package selected by the client.

ReadyBuilt is not responsible for services, features, or deliverables that are not expressly listed in a written agreement or approved scope of work.

3. Preview Websites and Concept Pages

ReadyBuilt may create unofficial preview websites, mockups, landing pages, or concept pages for prospective clients.

Preview websites are for demonstration and sales purposes only. They do not create a client relationship, ownership right, license, or obligation unless a written agreement is signed and payment is received.

Preview websites are not affiliated with, endorsed by, approved by, or officially connected to the business shown unless expressly stated in writing.

ReadyBuilt may remove, edit, restrict, or disable preview websites at any time.

If you are the owner or authorized representative of a business shown in a preview and would like it removed, contact ReadyBuilt and we will review the request.

4. Client Responsibilities

Clients are responsible for providing accurate, complete, and timely information needed to complete the project.

This may include:

• Business name, address, phone number, and service area
• Logos, photos, brand assets, and business content
• Domain registrar access
• DNS access
• Hosting account access
• Email account or Microsoft 365 access
• Required approvals and feedback
• Legal, licensing, pricing, warranty, or industry-specific disclosures

Clients are responsible for reviewing and approving all website content before publication, including claims about services, pricing, licensing, credentials, testimonials, guarantees, warranties, and legal disclosures.

ReadyBuilt is not responsible for inaccurate, outdated, misleading, or unlawful information supplied or approved by the client.

5. Account Access and Security

Some services may require temporary or ongoing administrative access to third-party accounts, including domain registrars, hosting providers, Microsoft 365, Google services, website builders, analytics platforms, or other tools.

Clients are responsible for maintaining ownership and control of their own accounts unless otherwise agreed in writing.

Clients should not share passwords through insecure methods. When possible, access should be granted through secure user roles, delegated access, temporary passwords, or approved credential-sharing methods.

ReadyBuilt is not responsible for account lockouts, suspensions, loss of access, provider outages, or security issues caused by third-party platforms, client actions, reused passwords, compromised accounts, or lack of client-side security controls.

6. Payments and Billing

Payment terms will be listed in the applicable invoice, proposal, checkout page, or service agreement.

Unless otherwise agreed in writing:

• Setup fees are due before project work begins.
• Monthly service fees are billed in advance.
• Work may be paused if payments are late, failed, disputed, or unpaid.
• Services may be suspended or terminated for non-payment.
• Third-party costs may be billed separately or passed through to the client.
• Prices may change for future services, renewals, or new work.

The client is responsible for paying all agreed fees, applicable taxes, third-party charges, and costs associated with the services.

7. Refunds

Refunds are governed by ReadyBuilt’s Refund Policy and any written agreement between ReadyBuilt and the client.

Unless otherwise stated in writing:

• Website setup fees are refundable only if work has not yet begun.
• Once design, development, setup, configuration, or other project work begins, setup fees are non-refundable.
• Monthly service fees are billed in advance and are non-refundable once the billing period begins.
• Third-party costs, including domains, hosting, Microsoft 365, email services, software licenses, plugins, stock assets, or other vendor fees, are non-refundable once purchased or provisioned.
• Refunds are not provided for delays caused by the client, including failure to provide content, account access, feedback, approvals, or required materials.

Clients agree to contact ReadyBuilt to attempt to resolve billing concerns before initiating a chargeback or payment dispute.

8. Cancellations

Unless otherwise stated in a written agreement, clients may cancel ongoing monthly services by providing written notice before the next billing date.

Cancellation stops future billing but does not automatically refund prior payments, setup fees, third-party costs, or the current billing period.

Upon cancellation, ReadyBuilt may stop providing hosting, maintenance, support, updates, monitoring, email administration, or other recurring services.

If a website, account, or service needs to be transferred after cancellation, transfer assistance may be billed separately unless included in the original agreement.

9. Project Timelines and Delays

Project timelines are estimates only unless a specific deadline is agreed in writing.

ReadyBuilt is not responsible for delays caused by:

• Late client feedback
• Missing content or assets
• Lack of account access
• Domain, DNS, hosting, or email issues
• Third-party provider delays
• Client-requested changes
• Scope changes
• Payment delays
• Force majeure events or circumstances outside ReadyBuilt’s control

If a client becomes unresponsive or fails to provide required materials, ReadyBuilt may pause the project, revise the timeline, or close the project without refund.

10. Revisions and Scope Changes

The number of included revisions, if any, will be listed in the proposal, package, or service agreement.

A revision means a reasonable adjustment to work already included in the agreed scope. A revision does not include a full redesign, new pages, new features, new integrations, new branding, copywriting, advanced functionality, or work outside the original scope.

Additional revisions, redesigns, features, pages, integrations, or requests outside the agreed scope may require additional fees.

11. Ownership and License

Clients retain ownership of content and materials they provide to ReadyBuilt, such as logos, photos, text, business information, and other client-owned assets.

ReadyBuilt retains ownership of its reusable systems, templates, processes, design frameworks, code snippets, internal tools, workflows, know-how, and pre-existing materials.

Unless otherwise agreed in writing, upon full payment, the client receives a limited license to use the completed website for their business.

If the client cancels, fails to pay, or violates these Terms or the service agreement, ReadyBuilt may suspend access to unpaid work, remove services, or withhold transfer of deliverables until outstanding balances are paid.

Third-party themes, plugins, fonts, software, stock assets, website builders, and hosted platforms may be subject to their own licenses and restrictions.

12. Portfolio Use

Unless the client requests otherwise in writing, ReadyBuilt may display completed work, screenshots, business names, website links, descriptions, and general project summaries in its portfolio, marketing materials, case studies, or proposals.

ReadyBuilt will not intentionally publish private credentials, confidential business data, or sensitive account information.

13. Third-Party Services

ReadyBuilt may use or integrate with third-party services such as domain registrars, hosting providers, website builders, Microsoft 365, Google services, analytics tools, payment processors, form tools, plugins, stock asset providers, or other vendors.

ReadyBuilt does not control third-party services and is not responsible for their:

• Outages
• Pricing changes
• Policy changes
• Feature changes
• Account suspensions
• Data loss
• Security incidents
• Billing issues
• Service interruptions
• Terms or license restrictions

Clients may be required to agree to third-party terms before using those services.

14. No Guarantees

ReadyBuilt does not guarantee any specific business result.

This includes, but is not limited to:

• Search engine rankings
• Website traffic
• Leads
• Sales
• Revenue
• Customer inquiries
• Conversion rates
• Ad performance
• Email deliverability
• Platform approval
• Uptime or uninterrupted availability

ReadyBuilt will make reasonable efforts to provide professional services, but results depend on many factors outside ReadyBuilt’s control.

15. Acceptable Use

You agree not to use ReadyBuilt’s website, services, preview pages, or deliverables for unlawful, abusive, harmful, misleading, infringing, or malicious purposes.

You may not:

• Attempt to hack, disrupt, overload, or damage ReadyBuilt systems
• Copy, resell, or redistribute ReadyBuilt materials without permission
• Use ReadyBuilt services to impersonate others
• Submit unlawful, infringing, defamatory, or misleading content
• Use services for spam, malware, phishing, scams, or unauthorized data collection
• Violate the rights of any person, business, or third party

ReadyBuilt may refuse, suspend, or terminate service if we believe a client or user has violated this section.

16. Website Content and Intellectual Property

The content on the ReadyBuilt website, including text, graphics, layouts, designs, icons, images, logos, code, and other materials, is owned by ReadyBuilt or used with permission.

You may not copy, reproduce, modify, distribute, sell, or use ReadyBuilt content for commercial purposes without written permission.

All rights not expressly granted are reserved.

17. Privacy

Use of the ReadyBuilt website and services may involve the collection of certain information, such as names, email addresses, phone numbers, business information, website URLs, form submissions, analytics data, and payment-related information.

Our handling of personal information is described in our Privacy Policy.

By using the website or services, you agree to the collection and use of information as described in the Privacy Policy.

18. Confidentiality

During a project, ReadyBuilt and the client may exchange non-public business, technical, login, pricing, operational, or project information.

ReadyBuilt will make reasonable efforts to keep client confidential information private and use it only for providing services.

Clients agree not to disclose ReadyBuilt’s non-public processes, pricing, proposals, systems, workflows, or private communications without permission.

Confidentiality does not apply to information that is publicly available, independently developed, already known, or required to be disclosed by law.

19. Disclaimer of Warranties

The ReadyBuilt website, services, previews, and deliverables are provided “as is” and “as available” unless otherwise stated in a written agreement.

To the fullest extent permitted by law, ReadyBuilt disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted availability, or error-free operation.

20. Limitation of Liability

To the fullest extent permitted by law, ReadyBuilt will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost data, business interruption, reputational harm, or loss of goodwill.

ReadyBuilt’s total liability for any claim related to the website, services, previews, or deliverables will not exceed the amount paid by the client to ReadyBuilt for the specific service giving rise to the claim during the three months before the claim arose.

Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply.

21. Indemnification

You agree to defend, indemnify, and hold harmless ReadyBuilt from claims, damages, losses, liabilities, costs, and expenses arising out of or related to:

• Your use of the website or services
• Content, materials, or information you provide
• Your violation of these Terms
• Your violation of third-party rights
• Your violation of applicable laws or regulations
• Claims related to your business, products, services, advertising, or website content

22. Termination

ReadyBuilt may refuse, suspend, or terminate access to the website, services, preview pages, or ongoing support at any time if we believe you have violated these Terms, failed to pay, misused services, engaged in abusive behavior, requested unlawful work, or created risk for ReadyBuilt or others.

Termination does not eliminate payment obligations for work already performed, active billing periods, third-party costs, or outstanding invoices.

23. Changes to These Terms

ReadyBuilt may update these Terms from time to time. The updated version will be posted on this page with a new “Last updated” date.

Continued use of the website or services after changes are posted means you accept the updated Terms.

24. Governing Law

These Terms are governed by the laws of the State of New Jersey, without regard to conflict of law principles.

Any disputes related to these Terms, the website, or ReadyBuilt services will be handled in the appropriate courts located in New Jersey unless otherwise required by law or agreed in writing.
